1. The service
Vibooks is bookkeeping software provided by Block Software Inc. The current desktop product is local-first and is designed to help individuals, businesses, and bookkeeping professionals maintain books, generate standard financial reports, and work with external AI agents through API.
Vibooks is software only. It does not provide tax filing, legal advice, accounting advice, or a guarantee that your records satisfy any jurisdiction, regulator, lender, or advisor.
2. Eligibility and acceptable use
You may use Vibooks only in compliance with applicable law and these Terms. You may not use the service to violate law, abuse infrastructure, infringe the rights of others, or attempt to interfere with the reliability or security of the product.
You are responsible for the people, devices, automations, and agents operating under your control.
3. License
Subject to these Terms and any purchase-specific conditions, Block Software Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use Vibooks during the applicable license term.
Unless we separately authorize it in writing, you may not resell, sublicense, redistribute, assign, transfer, rent, lease, white-label, host, or otherwise make Vibooks available to third parties as a hosted, managed, service bureau, or similar software offering.
For clarity, you may use Vibooks as your internal tool to maintain your own books or to perform bookkeeping work for clients or employers, provided you do not grant third parties standalone access to Vibooks as a substitute for their own license.
All intellectual property rights in the software, website, branding, and related materials remain with Block Software Inc. unless explicitly stated otherwise.
4. Plans, limits, and annual licenses
Plan limits for Companies and Books, along with licensed modules such as Banking, Payroll, Assets, Taxes, Backup, Export & Import, Dimensions, Industry Presets, and Approval Controls, are defined by the plan you purchase and the pricing information presented at the time of purchase.
Certain licenses are sold on an annual basis. If a license term expires and is not renewed, access may be limited, including read-only access for existing data as described in current product policy.
Personal includes core bookkeeping features such as income and AR, expenses and AP, vendors and customers, chart of accounts and journals, plus Banking, Assets, Taxes, and the generic SMB preset for 1 Company and 1 Book.
Small Business includes Banking, Payroll, Dimensions, Industry Presets, grouped reporting, Assets, Taxes, Backup, and Export & Import for up to 3 Companies and 5 Books.
Bookkeeping Firm includes everything in Small Business, adds Approval Controls and Priority Support, and increases capacity to 10 Companies and 20 Books.
5. External AI agents and your responsibilities
Vibooks may be used with external AI agents, model providers, or automation tools that are not operated by Block Software Inc. You decide whether to connect them and what information to send.
When you use external AI agents or model providers with Vibooks, prompts, source materials, bookkeeping records, and outputs may be sent to those third-party services, and their terms, privacy practices, and retention policies will apply to that processing.
You remain responsible for reviewing outputs, validating entries, confirming categorizations, deciding what data to send, and ensuring that any automated workflow is suitable for your business and compliance obligations.
6. Your data, exports, and backups
You are responsible for the accuracy of the books you maintain, the records you import, the exports you share, and the backup strategy you choose to operate.
The current local-first desktop workflow reduces dependence on hosted storage, but it does not remove your obligation to keep appropriate backups, secure your devices, and control access to exported materials.
7. Fees, renewals, and purchase channels
Pricing is displayed separately on our website or in the applicable purchase flow. Taxes, currency conversion, and payment processing terms may vary by purchase channel, jurisdiction, and platform.
If your purchase is made through a third-party platform or payment processor, that provider may collect billing or payer details directly and may apply additional terms relating to billing, refunds, renewals, or account access.
8. Availability, updates, and changes
We may update, improve, modify, suspend, or discontinue parts of Vibooks at any time. We may also release patches, new versions, or changes to licensing and service operations.
Some features may depend on compatible devices, supported operating systems, internet connectivity for license validation or updates, and the continued availability of third-party services that you choose to use.
9. Disclaimers
Vibooks is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant uninterrupted availability, error-free operation, or suitability for every accounting, tax, legal, or regulatory requirement.
You should consult qualified professionals before relying on software outputs for tax filings, legal compliance, financing decisions, or regulated reporting.
10. Limitation of liability
To the maximum extent permitted by law, Block Software Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.
Where liability cannot be excluded, it will be limited to the amount you paid for the applicable license term giving rise to the claim.
11. Changes to these Terms
We may revise these Terms from time to time. Continued use of Vibooks after updated Terms become effective constitutes acceptance of the revised Terms.
